Terms of Service

1. Acceptance of Terms

By accessing or using Milh restaurant management platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. These Terms are governed by the laws of the Kingdom of Saudi Arabia.

2. Description of Service

Milh provides a cloud-based restaurant management platform that includes recipe management, ingredient tracking, cost control, supplier management, and related services. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration

To use our Service, you must:

• Be at least 18 years old or the legal age of majority in Saudi Arabia
• Provide accurate and complete registration information, including a valid Commercial Registration (CR) number if applicable
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

4. Subscription and Payment

Billing

Subscription fees are billed in advance on a monthly or annual basis in Saudi Riyals (SAR). You authorize us to charge your payment method for all fees due. All prices are inclusive of applicable VAT (15%) as required by the Zakat, Tax and Customs Authority (ZATCA). All fees are non-refundable unless otherwise stated.

Price Changes

We may change our prices with 30 days' notice. Price changes will take effect at the start of your next billing cycle. Any price change will comply with Saudi consumer protection regulations.

Cancellation

You may cancel your subscription at any time. Upon cancellation, you will continue to have access until the end of your current billing period. No partial refunds will be issued for unused periods.

5. Acceptable Use

You agree not to:

• Use the Service for any purpose that violates Saudi Arabian laws or regulations
• Violate any applicable local, national, or international laws
• Infringe on the intellectual property or privacy rights of others
• Transmit malware or harmful code
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or its infrastructure
• Use the Service to send spam or unsolicited messages
• Resell or redistribute the Service without written authorization

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which complies with the Saudi Personal Data Protection Law (PDPL). You retain ownership of your data, and grant us a license to use it solely to provide and improve the Service. We will not access your data except as necessary to provide support or as required by Saudi law. Your data is processed and stored in accordance with PDPL requirements.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Milh Technology Co. and are protected by Saudi Arabian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

8. Third-Party Services

Our Service may integrate with third-party services (payment processors, delivery apps, etc.). Your use of these services is subject to their respective terms and privacy policies. We select third-party providers that comply with applicable Saudi regulations. We are not responsible for the actions of third-party service providers.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, TO THE EXTENT PERMITTED BY SAUDI ARABIAN LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY THE LAWS OF THE KINGDOM OF SAUDI ARABIA, Milh SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

11. Indemnification

You agree to indemnify and hold harmless Milh Technology Co. and its affiliates from any claims, damages, or expenses arising from your use of the Service or violation of these Terms, to the extent permitted by Saudi Arabian law.

12. Termination

We may terminate or suspend your account immediately, without prior notice, for conduct that we believe violates these Terms, Saudi Arabian law, or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease. You may request an export of your data within 30 days of termination.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Kingdom of Saudi Arabia. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts in Al Khobar, Eastern Province, Kingdom of Saudi Arabia.

14. Changes to Terms

We reserve the right to modify these Terms at any time in accordance with applicable Saudi regulations. We will provide notice of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the new Terms.
